User Acceptance

These Terms of Service ("Terms"), together with our Privacy Policy, constitute a legally binding agreement between you and Macky Player Inc. ("Macky Player", "we", "us", or "our") governing your use of our website, mobile applications, and services (collectively, the "Platform").

By accessing or using any part of the Platform, you agree to be bound by these Terms. If you do not agree to all the terms and conditions, you must not use the Platform.

We may modify these Terms at any time. Changes become effective immediately upon posting. Your continued use of the Platform after modifications constitutes acceptance of the updated Terms.

Services - Terms of Use

Macky Player provides a music streaming platform that allows users to discover, stream, upload, and share music content. Our services include:

• Music streaming and playback
• Playlist creation and curation
• Artist uploads and content distribution
• Social features (following, favoriting, commenting)
• Premium subscription services
• Developer API access

We reserve the right to modify, suspend, or discontinue any part of the Platform at any time without prior notice or liability.

The Platform may contain links to third-party websites or services. We are not responsible for the content or practices of these third parties.

Account Registration and Responsibility

To access certain features, you must create an account. You agree to:

• Provide accurate and complete registration information
• Maintain the security and confidentiality of your password
• Be at least 13 years of age (or the age of majority in your jurisdiction)
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use

You are liable for any losses incurred by MusicPlayer2026 or others due to unauthorized use of your account.

Acceptable Use Policy

You agree NOT to:

• Upload, distribute, or share content that infringes on intellectual property rights
• Upload content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
• Impersonate any person or entity
• Use automated systems (bots, scripts) to artificially inflate play counts, followers, or other metrics
• Attempt to gain unauthorized access to our systems or other user accounts
• Interfere with or disrupt the Platform's operation
• Use the Platform for any commercial purpose without our written consent
• Scrape, harvest, or collect user information without permission
• Distribute viruses, malware, or any harmful code
• Violate any applicable laws or regulations
• Sell or transfer your account to another party
• Use the Platform to spam or send unsolicited communications

User Content and Intellectual Property

Your Content

You retain all ownership rights to content you upload to the Platform. However, by uploading content, you grant Macky Player a worldwide, non-exclusive, royalty-free license to:

• Use, reproduce, distribute, and display your content on the Platform
• Make your content available for streaming and downloading (if enabled)
• Use your content in marketing and promotional materials
• Allow other users to stream, share, and add to playlists

Content Requirements

You represent and warrant that:

• You own or have the necessary rights to all content you upload
• Your content does not infringe on third-party intellectual property rights
• You have obtained all necessary permissions, licenses, and clearances
• Your content complies with all applicable laws

Copyright and DMCA

We respect intellectual property rights. If you believe content on our Platform infringes your copyright, please send a DMCA notice to dmca@mackyplayer.com including:

• Physical or electronic signature of the copyright owner
• Identification of the copyrighted work
• Identification of the infringing material and its location
• Your contact information
• A statement of good faith belief
• A statement of accuracy under penalty of perjury

Content Removal

We reserve the right to remove any content that violates these Terms, infringes intellectual property rights, or is otherwise objectionable, without prior notice.

Subscription and Payment Terms

Premium Subscriptions

Premium subscriptions provide ad-free listening, offline downloads, and enhanced features. Subscription fees are billed in advance on a recurring basis (monthly or annually).

Billing

• You authorize us to charge your payment method for recurring subscription fees
• Subscriptions automatically renew unless cancelled before the renewal date
• We may change subscription prices with 30 days' advance notice
• All payments are non-refundable except as required by law

Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. No refunds or credits for partial periods.

Free Trial

Free trial offers are available to new subscribers only, one per person. We reserve the right to verify eligibility and revoke trial access if fraudulent activity is detected.

Prohibited Conduct

The following activities are strictly prohibited:

• Using bots or third-party services to artificially inflate metrics
• Engaging in "stream fraud" or manipulation of charts
• Creating fake accounts or engaging in coordinated inauthentic behavior
• Harassing, bullying, or threatening other users
• Posting spam, advertisements, or promotional content without permission
• Attempting to reverse engineer or decompile our software
• Circumventing technological protection measures

Termination

We may suspend or terminate your account immediately, without prior notice, if you:

• Violate these Terms
• Engage in fraudulent or illegal activity
• Upload infringing content after receiving warnings
• Abuse or harass other users or staff

Upon termination, your right to use the Platform ceases immediately. We may delete your content and data, except where we're required to retain it by law.

Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING:

• Merchantability and fitness for a particular purpose
• Non-infringement of third-party rights
• Uninterrupted or error-free operation
• Accuracy or reliability of content
• Freedom from viruses or harmful components

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MACKY PLAYER AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or use
• Business interruption
• Damages arising from user content or third-party conduct

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

Some jurisdictions do not allow limitation of liability, so these limitations may not apply to you.

Indemnification

You agree to indemnify, defend, and hold harmless Macky Player and its affiliates from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Platform
• Your content or uploads
• Your violation of these Terms
• Your violation of any third-party rights

Dispute Resolution

Governing Law

These Terms are governed by the laws of the State of California and the United States, without regard to conflict of law principles.

Arbitration Agreement

Any dispute arising from these Terms or the Platform shall be resolved through binding arbitration rather than in court, except for:

• Small claims court disputes
• Intellectual property disputes
• Claims for injunctive relief

Arbitration will be conducted by the American Arbitration Association under its rules. You waive your right to a jury trial and to participate in class actions.

General Provisions

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Macky Player.

Severability

If any provision is found unenforceable, the remaining provisions will continue in full effect.

No Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right.

Assignment

You may not assign these Terms without our consent. We may assign our rights to any affiliate or successor.
